REWIRE TERMS & CONDITIONS

1. INTERPRETATION AND ORDER OF PRECEDENCE

In these Terms, “including” means “including without limitation”. Headings are for convenience only and do not affect interpretation. References to a statute include its regulations and any successor legislation.

Where a conflict or inconsistency arises, the following documents apply in descending order of precedence:

1. a separate written agreement signed by REWIRE and the relevant participant (for example a speaker, sponsor, exhibitor, partner or contractor agreement);
2. additional terms expressly stated to apply to a specific ticket category, credential, Event, programme or application;
3. these Terms; and
4. the REWIRE Code of Conduct.

Notwithstanding the order above, the REWIRE Code of Conduct prevails over these Terms on questions of participant conduct, behaviour and the consequences of conduct violations.

2. REGISTRATION AND TICKETS

Ticket categories, eligibility requirements, prices and included benefits will be displayed on the applicable REWIRE registration or ticketing page before you complete your purchase.

Unless otherwise stated:

• ticket prices are displayed in Canadian dollars (CAD);
• the total amount payable, including applicable taxes and processing fees, will be itemised and displayed to you before you confirm your purchase;
• payment may be processed by third-party payment providers;
• each ticket must be assigned to a single named individual attendee; and
• attendees must provide accurate and complete registration information.

Following a completed purchase, REWIRE will send a confirmation to the email address provided at registration, together with a copy of, or a durable link to, these Terms as in force at the time of purchase.

REWIRE reserves the right to change ticket prices, ticket categories, availability, benefits and promotional offers at any time. Changes will not retroactively alter the price of a ticket already validly purchased, except to correct an obvious pricing or technical error where permitted by applicable law.

Certain ticket or accreditation categories, including startup, media, speaker, sponsor, partner, complimentary or other special-access passes, may be subject to eligibility requirements and approval by REWIRE.

Submission of an application does not guarantee approval, participation or admission.

3. PAYMENT AND PAYMENT DISPUTES

Tickets are issued once payment has been received and processed in full. REWIRE may cancel a registration where payment is declined, reversed or not received.

If you believe you have been charged in error, contact REWIRE at the address in Section 39 before initiating a chargeback or payment reversal so the issue can be reviewed.

Where a chargeback or payment reversal is initiated in respect of a valid purchase, REWIRE may cancel the associated registration and revoke the associated ticket, pass or credential.

Nothing in this section limits any right you may have to dispute a charge with your payment provider or any other right that cannot lawfully be excluded.

4. REFUNDS, CANCELLATIONS AND TRANSFERS

Except where otherwise expressly stated by REWIRE, provided under Section 8, or required by applicable law, all ticket purchases are final and non-refundable.

Failure to attend an Event does not entitle an attendee to a refund.

Tickets may not be resold, auctioned or used as part of an unauthorized promotion, competition, giveaway or commercial package.

REWIRE may establish a deadline before an Event during which attendee substitutions or ticket transfers are permitted. Any substitution or transfer remains subject to REWIRE's approval and the eligibility requirements applicable to the relevant ticket category.

If an attendee subsequently receives a complimentary, speaker, sponsor, partner, media or other credential after purchasing a ticket, the original ticket will not automatically be eligible for a refund.

Nothing in this section limits any refund, cancellation or other right that cannot lawfully be excluded.

5. ADMISSION AND CREDENTIALS

A valid ticket, pass or credential permits admission to the applicable Event, subject to these Terms, the REWIRE Code of Conduct, venue requirements and applicable law.

Badges and credentials are personal to the named individual. They may not be shared, lent, exchanged, duplicated or transferred on site. Attendees must wear their badge visibly at all times within Event areas and must present it on request.

REWIRE reserves the right to verify an attendee's identity, age, organization, professional affiliation or eligibility for a particular ticket or credential.

REWIRE may refuse registration, cancel a registration, refuse admission, revoke credentials or remove an attendee where REWIRE reasonably believes that:

• registration information is false or misleading;
• a ticket or credential has been fraudulently obtained, shared or improperly transferred;
• the attendee has violated these Terms or the REWIRE Code of Conduct;
• the attendee poses a safety, security or operational risk;
• the attendee materially disrupts the Event; or
• such action is reasonably necessary to protect REWIRE, the venue or Event participants.

Where admission is refused or an attendee is removed because of a violation of these Terms or the Code of Conduct, no refund will be provided except where required by applicable law.

REWIRE may, in exceptional circumstances and at its discretion, issue a partial refund or credit. Doing so in one case does not create an entitlement in any other case and does not affect REWIRE's rights under this section.

Lost or damaged badges may be replaced at REWIRE's discretion following identity verification, and a reasonable replacement fee may apply.

6. AGE REQUIREMENTS

You must be at least 18 years old to register for a REWIRE Event unless REWIRE expressly states otherwise for specific programming.

Certain receptions, venues or activities involving alcohol may require attendees to be at least 19 years old, and valid government-issued identification may be required.

Where REWIRE reasonably believes that a registrant has misrepresented their age, REWIRE may cancel the registration and refuse admission. No refund will be provided except where required by applicable law.

7. PROGRAM, SPEAKERS AND SCHEDULE

REWIRE may modify the Event program at any time.

Speakers, moderators, sessions, stages, topics, formats, venues, rooms, schedules and other programming elements are subject to change without notice.

The announced or expected participation of any particular speaker, company, sponsor, investor, government representative or other participant is not guaranteed and does not constitute a condition of ticket purchase.

Except as provided in Section 8 or as required by applicable law, REWIRE will not be responsible for losses or expenses resulting from program changes, speaker cancellations, substitutions or scheduling changes.

8. EVENT CANCELLATION, POSTPONEMENT AND FORCE MAJEURE

REWIRE reserves the right to cancel, postpone, relocate, reschedule, modify or change the format of an Event where reasonably necessary.

REWIRE will not be responsible for failure or delay caused by circumstances outside its reasonable control, including severe weather, natural disaster, fire, flood, epidemic or pandemic, public health emergency, government action or restriction, war, terrorism, civil disturbance, labour dispute, transportation disruption, venue unavailability, utility failure, technology failure or other circumstances that make holding the Event illegal, unsafe, impracticable or impossible.

8.1 Postponement or rescheduling

Where an Event is postponed or rescheduled, valid tickets and registrations will automatically transfer to the rescheduled Event. If you are unable to attend on the rescheduled dates, you may request a credit for the amount paid, exercisable against a future REWIRE Event, by notifying REWIRE within thirty (30) days of the announcement of the rescheduled dates. Credits remain valid for twelve (12) months from the date of issue.

8.2 Relocation

Where an Event is relocated to a different venue within the same metropolitan area, tickets remain valid and no additional remedy arises. Where an Event is relocated to a different city, Section 8.1 applies as if the Event had been rescheduled.

8.3 Cancellation without rescheduling

Where an Event is cancelled and is not rescheduled, REWIRE will refund the ticket price paid. Refunds will be issued to the original method of payment within sixty (60) days of the cancellation announcement. Non-refundable third-party processing fees may be retained only where permitted by applicable law.

8.4 Format changes

Conversion of an Event, in whole or in part, to a virtual or hybrid format does not by itself give rise to a refund entitlement, except where required by applicable law.

8.5 Ancillary costs

To the maximum extent permitted by applicable law, REWIRE is not responsible for attendees' travel, accommodation, visa, transportation, hospitality or other expenses arising from cancellation, postponement, relocation or modification of an Event. Attendees are strongly encouraged to obtain appropriate travel insurance.

9. TRAVEL, ACCOMMODATION AND VISAS

Attendees are responsible for arranging and paying for their own travel, accommodation, immigration requirements, travel insurance and other expenses associated with attending an Event.

REWIRE does not guarantee the issuance of any visa, permit or entry authorization.

REWIRE provides visa-support letters only to confirmed speakers and members of sponsor teams who meet REWIRE's requirements. Visa-support letters are not provided to general attendees or volunteers.

Where an eligible participant requests a visa-support letter, REWIRE's role is limited to providing the letter to that individual. The participant is responsible for submitting their own application.

REWIRE does not submit visa applications, communicate with immigration authorities on an applicant's behalf or have control over the outcome of an immigration decision.

Except where required by applicable law or expressly agreed otherwise by REWIRE, visa refusal does not entitle an attendee or participant to a refund or reimbursement.

10. CODE OF CONDUCT

All attendees, speakers, sponsors, exhibitors, partners, contractors, volunteers, staff and other Event participants must comply with the REWIRE Code of Conduct.

The Code of Conduct forms part of the conditions of participation in REWIRE Events and use of REWIRE Event platforms.

REWIRE reserves the right to take appropriate action in response to violations of the Code of Conduct, including restricting access, revoking credentials, removing an individual from an Event or prohibiting participation in future REWIRE Events.

Where credentials are revoked or an individual is removed because of a violation of the Code of Conduct, no refund will be provided except where required by applicable law, subject to REWIRE's discretion under Section 5.

11. ASSUMPTION OF RISK

Please read this section carefully. It limits the circumstances in which REWIRE is responsible for loss or injury.

Attendance at an in-person Event involves inherent risks, including risks associated with crowds and crowded spaces, queuing, moving through venue and exhibition areas, stairs, escalators, elevators, temporary structures, staging, lighting and audiovisual equipment, exhibitor installations and demonstrations, food and beverage service, off-site activities and receptions, transportation to and from venues, and exposure to communicable illness.

To the maximum extent permitted by applicable law, you voluntarily accept these inherent risks and attend an Event at your own risk.

You agree to comply with venue rules, posted signage, barriers, security instructions and the directions of Event staff, and to promptly report hazards, incidents or injuries to Event staff.

Attendees participating in any physical activity, demonstration, equipment trial, tour or off-site activity do so voluntarily and are responsible for assessing their own fitness to participate.

This section does not exclude or limit liability for death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded. Nothing in this section affects your rights against a venue operator or other third party.

12. HEALTH, SAFETY AND SECURITY

Attendees must comply with applicable venue policies, security procedures, health and safety instructions and applicable laws.

REWIRE may introduce reasonable security, health or safety measures where circumstances require them, including bag inspection, screening, capacity limits, restricted-access areas and measures required by public health authorities.

REWIRE may refuse entry to, or remove, any person who declines to comply with such measures.

Attendees are responsible for their personal belongings. To the maximum extent permitted by applicable law, REWIRE is not responsible for lost, stolen or damaged personal property.

13. ACCESSIBILITY

REWIRE is committed to providing an accessible Event experience and will comply with applicable accessibility requirements, including the Accessibility for Ontarians with Disabilities Act, 2005 and the Integrated Accessibility Standards Regulation.

Attendees requiring accessibility accommodations are asked to contact REWIRE at the address in Section 39 at least fourteen (14) days before the Event so that appropriate arrangements can be made. REWIRE will make reasonable efforts to accommodate requests received after that date.

Support persons and service animals are permitted in accordance with applicable law and venue policies.

Information provided in connection with accessibility requirements is handled in accordance with the REWIRE Privacy Policy and is used only for the purpose of arranging accommodations.

14. UNAUTHORIZED EVENTS AND USE OF THE REWIRE NAME

No individual or organization may represent an event, reception, meeting, dinner, activation or other activity as “official”, “partner”, “affiliated”, “associated”, “co-hosted”, “supported by” or otherwise endorsed by REWIRE without REWIRE's prior written authorization.

The REWIRE name, trademarks, logos, branding, visual identity and other intellectual property may not be used in a manner that suggests sponsorship, partnership, endorsement or affiliation without prior written permission.

Independent events may take place during the same period as a REWIRE Event provided that they do not falsely or misleadingly suggest an official relationship with REWIRE.

15. SOLICITATION AND UNAUTHORIZED ACTIVITY AT EVENTS

Commercial promotion, selling, demonstration, recruitment and marketing activity within Event venues is reserved to sponsors, exhibitors and partners in accordance with their agreements with REWIRE.

Without REWIRE's prior written authorization, attendees and other participants must not:

• distribute flyers, brochures, samples, merchandise, signage or other promotional materials in Event areas;
• set up displays, stands, demonstrations, filming positions or branded installations;
• conduct organized solicitation, canvassing, surveying or lead collection on the Event floor or in queues;
• use another participant's booth, stand or allocated space for their own promotional purposes; or
• conduct promotional activity at venue entrances, exits or immediately adjacent public areas in a manner that presents it as part of the Event.

Ordinary networking, exchanging contact details and discussing your business with other participants are permitted and are not restricted by this section.

REWIRE may require the immediate cessation of unauthorized activity, remove materials, revoke credentials or remove the individuals or organizations involved.

16. PHOTOGRAPHY, VIDEO, AUDIO AND LIVESTREAMING

REWIRE Events may be photographed, filmed, livestreamed or otherwise recorded, including sessions, stages and public Event areas. Notice of recording will be provided at registration and by signage at Event entrances and in recorded areas.

By registering for and attending a REWIRE Event, you acknowledge and accept that you may be photographed, filmed, livestreamed or recorded.

To the extent permitted by applicable law, you authorize REWIRE and its authorized contractors, production partners and media partners to use such material for Event documentation, archives, session distribution, editorial coverage, reporting, and the marketing and promotion of REWIRE and future editions.

Such material may be published through REWIRE websites, social media, digital platforms, marketing materials, presentations, media coverage and other channels worldwide. No compensation is payable for such use.

16.1 Opt-out

Attendees who do not wish to be featured in REWIRE marketing material may request an opt-out identifier at the registration desk. REWIRE will instruct its photographers and production partners accordingly and will make reasonable efforts to exclude identified attendees from marketing use. Because Events are held in crowded public settings and include live broadcast, REWIRE cannot guarantee that an opting-out attendee will never appear incidentally in wide or crowd shots.

16.2 Removal requests

You may request the removal of a specific photograph, recording or frame in which you are identifiable by contacting REWIRE at the address in Section 39, identifying the material. REWIRE will assess and respond to such requests within a reasonable period and will remove the material from channels under its control where the request is reasonable and technically practicable.

16.3 Withdrawal

Withdrawal of the authorization in this section takes effect prospectively. It does not require REWIRE to recall or retrieve material already distributed to media partners, published by third parties, incorporated into completed productions, or held in Event archives, and does not create an obligation to alter historical archival records.

17. ATTENDEE RECORDING

Personal photography and limited short-form recording may be permitted unless otherwise indicated.

REWIRE may prohibit photography, filming, livestreaming or recording during particular sessions or within designated areas.

Attendees may not commercially reproduce, rebroadcast, distribute, sell or otherwise exploit substantial portions of Event programming without authorization from REWIRE and, where applicable, the relevant speaker or rights holder.

18. SPEAKERS, CONTENT AND NO FINANCIAL ADVICE

Views and opinions expressed by speakers, moderators, sponsors, exhibitors, attendees or other participants are their own and do not necessarily represent the views of REWIRE or Offsight Inc.

REWIRE does not endorse or guarantee any statement, company, technology, investment, financial product, digital asset, security, strategy, project or commercial opportunity discussed or presented at an Event.

Content presented through REWIRE is provided for general informational and educational purposes only and does not constitute investment, financial, legal, tax, accounting, regulatory or other professional advice.

Nothing presented through REWIRE constitutes an offer, solicitation, recommendation or endorsement to purchase, sell or hold any security, digital asset, financial product or investment, and nothing presented is directed at any person in a jurisdiction where such an offer or solicitation would be unlawful.

Attendees are responsible for conducting their own due diligence and obtaining independent professional advice before making financial, investment, legal, tax or business decisions.

19. SPONSORS, EXHIBITORS, PARTNERS AND THIRD PARTIES

REWIRE may feature sponsors, exhibitors, partners, vendors, investors and other third parties.

Their participation in an Event does not constitute an endorsement or guarantee by REWIRE of their products, services, technologies, statements, investments or activities.

Any interaction, transaction, investment, agreement or other relationship between an attendee and a third party is solely between those parties.

REWIRE is not responsible for losses arising from third-party products, services, representations, transactions, investments or relationships.

20. APPLICATIONS

Certain REWIRE programs and participation categories may require an application, including startup, speaker, media or other selected-access programs.

Application requirements and selection criteria may vary by category.

Submission of an application does not guarantee acceptance, participation, a speaking opportunity, accreditation, investment, introductions or any other benefit.

REWIRE reserves the right to accept or decline applications in accordance with applicable program criteria and Event requirements.

Personal information submitted through applications is handled in accordance with the REWIRE Privacy Policy.

21. PRIVACY AND BADGE SCANNING

REWIRE collects, uses, discloses, stores and protects personal information in accordance with the REWIRE Privacy Policy, which explains REWIRE's practices relating to personal information collected through the website, registration and ticketing, applications, Event participation, Event platforms, communications and other REWIRE Services.

21.1 Badge scanning and lead retrieval

Sponsors, exhibitors and partners may be provided with badge-scanning or lead-retrieval tools. If you permit your badge or credential to be scanned, the registration details associated with your badge, which may include your name, job title, organization and email address, will be shared with the scanning party. Scanning is voluntary and within your control. You may decline to have your badge scanned at any time.

Sponsors, exhibitors and partners determine their own use of information obtained through badge scanning and are independently responsible for their handling of that information and for their compliance with applicable privacy and anti-spam law. Requests to correct, access or delete information held by those parties should be directed to them.

By using the Services or participating in an Event, you acknowledge that you have been provided access to the REWIRE Privacy Policy.

22. ELECTRONIC COMMUNICATIONS

REWIRE may send you transactional and Event-related messages, including registration confirmations, receipts, credential delivery, schedule and logistics updates, safety notices and changes to these Terms. These messages form part of the Services and are sent for the duration of your relationship with the applicable Event.

REWIRE may also send commercial electronic messages, including Event announcements, programme news and future edition information, in accordance with Canada's Anti-Spam Legislation and other applicable law. Every commercial electronic message will identify REWIRE, provide contact information and include an unsubscribe mechanism that takes effect promptly.

Unsubscribing from commercial messages does not stop transactional and Event-related messages necessary to deliver the Services you have registered for.

23. EVENT PLATFORMS, VIRTUAL PARTICIPATION AND THIRD-PARTY SERVICES

REWIRE may provide or facilitate access to registration systems, Event applications, networking platforms, streaming services, payment processors and other digital services operated by third-party providers.

Use of third-party services may be subject to the provider's own terms, conditions and privacy policies.

REWIRE does not control third-party services and, to the maximum extent permitted by applicable law, is not responsible for their availability, operation, security, content or practices.

23.1 Virtual and hybrid access

Where an Event includes virtual or streamed participation, access credentials are issued to a single named individual and are personal and non-transferable. You must not share login details, permit concurrent use by more than one person, display streamed content to a group without authorization, or record, download, rebroadcast or redistribute streamed content.

REWIRE may suspend or revoke virtual access credentials where it reasonably believes this section has been breached.

REWIRE does not warrant uninterrupted or error-free streaming. Interruptions caused by your own equipment, network or internet service do not give rise to a refund entitlement, except where required by applicable law.

24. USER CONTRIBUTIONS

Certain REWIRE Services or Event platforms may allow users to submit, upload, publish or share content, including profile information, comments, messages, photographs, documents or other materials (“User Contributions”).

You retain ownership of your User Contributions.

By submitting a User Contribution to a REWIRE-operated Service for display, publication or use in connection with an Event, you grant REWIRE a non-exclusive, royalty-free, worldwide licence, including the right to sublicense to REWIRE's hosting providers, platform operators and other service providers acting on REWIRE's behalf, to host, store, reproduce, format, resize, display and otherwise use that content only to the extent reasonably necessary to operate, provide, administer or promote the applicable Service or Event, unless you separately agree to broader use.

To the extent permitted by applicable law, you waive your moral rights in your User Contributions in favour of REWIRE and those authorized by REWIRE, solely in connection with the uses permitted by this section.

This licence ends when you or REWIRE removes the User Contribution, except that it continues in respect of copies retained in routine backups, archives or where retention is required by law, and in respect of material already incorporated into completed Event productions or publications.

You represent that you have the necessary rights to submit your User Contributions and that doing so does not violate applicable law or the rights of another person or organization.

REWIRE may remove User Contributions that violate these Terms, the REWIRE Code of Conduct, applicable law or third-party rights.

25. INTELLECTUAL PROPERTY

Unless otherwise stated, REWIRE's website, Event branding and REWIRE-created materials, including text, graphics, photographs, videos, designs, logos, reports and other content, are owned by or licensed to Offsight Inc. and are protected by applicable intellectual property laws.

You may access such content for personal and legitimate business-information purposes associated with participation in REWIRE.

You may not reproduce, commercially distribute, sell, license, modify or create derivative commercial products from REWIRE content without prior written authorization.

Nothing in these Terms transfers ownership of REWIRE intellectual property to you.

Speakers and other third parties retain ownership of intellectual property belonging to them except to the extent otherwise agreed under a separate agreement.

26. WEBSITE AND DIGITAL SERVICE USE

You agree not to misuse REWIRE's website, applications, registration systems or digital services.

You must not:

• introduce malware or malicious code;
• attempt unauthorized access to systems, accounts or non-public areas of the Services;
• interfere with the operation, integrity or security of the Services;
• scrape, crawl, harvest or systematically extract information, including attendee, speaker or exhibitor data, without authorization;
• use automated means to access the Services in a manner that imposes an unreasonable load;
• impersonate another person or organization;
• use the Services for unlawful or fraudulent purposes; or
• infringe the intellectual property, privacy or other rights of REWIRE or any third party.

REWIRE may restrict or terminate access where it reasonably believes these requirements have been violated.

27. ERRORS, INACCURACIES AND OMISSIONS

Information made available through REWIRE's website, ticketing pages, Event platforms or other Services may occasionally contain typographical errors, inaccuracies or omissions relating to Event descriptions, programming, speakers, ticket prices, promotions, availability or other information.

REWIRE reserves the right to correct errors, inaccuracies or omissions and to update information at any time.

Where an error affects an existing ticket purchase or contractual right, REWIRE will act in accordance with applicable law.

28. SUSPENSION AND TERMINATION OF SERVICES

REWIRE may suspend, restrict or terminate a person's access to the Services where REWIRE reasonably believes that the person:

• has materially breached these Terms or the REWIRE Code of Conduct;
• has used the Services unlawfully or fraudulently;
• poses a security or operational risk;
• has attempted to interfere with REWIRE's systems or Services; or
• has infringed REWIRE's or another person's rights.

Termination of access does not affect the provisions listed in Section 36.4.

29. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by applicable law, the Services, Events and related content are provided on an “as is” and “as available” basis.

REWIRE does not warrant that its website, Event platforms or other Services will be uninterrupted, error-free or free from technical issues, or that all Event information or third-party content will be complete, current or accurate.

Nothing in these Terms excludes any warranty, condition, right or remedy that cannot lawfully be excluded.

30. LIMITATION OF LIABILITY

Please read this section carefully. It limits the amount REWIRE can be required to pay you.

To the maximum extent permitted by applicable law, Offsight Inc., REWIRE and their directors, officers, employees, contractors, agents and representatives (together, the “REWIRE Parties”) will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, loss of profits, loss of revenue, loss of business opportunity, loss of anticipated savings, loss of goodwill, loss of data or similar losses arising from or relating to the Services or an Event, whether or not the possibility of such loss was foreseeable or advised.

30.1 Aggregate cap

To the maximum extent permitted by applicable law, the total aggregate liability of the REWIRE Parties arising from or relating to the Services or an Event, whether in contract, tort (including negligence), statute or otherwise, will not exceed the greater of:

• (a) the total amount you paid to REWIRE for the ticket, credential or Service giving rise to the claim; and
• (b) CAD $100.

30.2 Excluded matters

To the maximum extent permitted by applicable law, the REWIRE Parties are not responsible for loss or damage arising from:

• interactions or transactions between participants;
• statements or representations made by speakers or third parties;
• investment or business decisions made in reliance on Event content;
• lost, stolen or damaged property;
• third-party products or services;
• Event program changes;
• travel or accommodation arrangements; or
• circumstances outside REWIRE's reasonable control.

30.3 Savings

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability where such exclusion or limitation is prohibited by applicable law. Where applicable law does not permit the exclusion or limitation of certain damages, the exclusions and limitations above apply only to the extent permitted.

31. INDEMNIFICATION

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless the REWIRE Parties from third-party claims, liabilities, damages, losses and reasonable costs arising directly from:

• your material breach of these Terms;
• your unlawful or fraudulent use of the Services;
• your material violation of the REWIRE Code of Conduct;
• your infringement of a third party's intellectual property, privacy or other legal rights; or
• User Contributions submitted by you that violate applicable law or third-party rights.

This obligation does not apply to the extent a claim or loss was caused by the negligence, wilful misconduct or breach of legal obligation of Offsight Inc. or REWIRE.

REWIRE will notify you promptly of any claim for which indemnification is sought, will not settle such a claim without your consent (not to be unreasonably withheld), and will provide you with reasonable cooperation in the defence of the claim at your expense.

32. THIRD-PARTY BENEFICIARIES

The exclusions, limitations, disclaimers, releases and indemnities in Sections 11, 12, 29, 30 and 31 are given for the benefit of the REWIRE Parties as well as Offsight Inc.

Offsight Inc. holds the benefit of those provisions on its own behalf and as trustee and agent for each of the other REWIRE Parties, each of whom may rely on and enforce those provisions directly.

Except as set out in this section, these Terms do not create rights enforceable by any person who is not a party to them.

33. CHANGES TO THESE TERMS

REWIRE may update these Terms from time to time.

The current version will be published on the REWIRE website together with its effective date and version number, and prior versions will be retained and made available on request.

The Terms in force at the time you completed your registration or purchase continue to govern that registration or purchase, except where a change is required by applicable law or is necessary for safety, security or legal compliance.

Where a material change affects an existing registration or contractual right, REWIRE will notify affected registrants by email to the address provided at registration and will provide any notice, consent opportunity or cancellation right required by applicable law.

34. NOTICES

Notices to you will be sent to the email address provided at registration or, where applicable, posted within the Event platform. Notices sent by email are deemed received twenty-four (24) hours after sending, unless REWIRE receives notice of delivery failure.

Notices to REWIRE must be sent to the email and postal address in Section 39, and are deemed received on the next business day after email delivery or on actual receipt of physical delivery.

35. ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without REWIRE's prior written consent.

Offsight Inc. may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, corporate reorganization, sale of the REWIRE business or substantially all related assets, or other lawful corporate transaction, subject to applicable law.

36. GENERAL

36.1 Severability

If any provision of these Terms is determined to be invalid, illegal or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

36.2 Waiver

Failure or delay by REWIRE or Offsight Inc. in enforcing any provision of these Terms will not constitute a waiver of that provision or any other right. A waiver is effective only if given in writing.

36.3 No partnership or agency

Nothing in these Terms creates a partnership, joint venture, employment, franchise or agency relationship between you and REWIRE. Neither party may bind the other.

36.4 Survival

Sections 1, 4, 5 (final paragraph), 9 (final paragraph), 11, 14, 16, 17, 18, 19, 21, 24, 25, 29, 30, 31, 32, 34, 36 and 38 survive termination or expiry of these Terms, along with any other provision that by its nature is intended to survive.

36.5 Language

The parties have requested that these Terms and all related documents be drawn up in English. Les parties ont demandé que la présente convention ainsi que tous les documents qui s'y rattachent soient rédigés en langue anglaise. Where REWIRE publishes a translation of these Terms, the English version prevails in the event of conflict, except where applicable law provides otherwise.

36.6 Electronic form

These Terms may be accepted electronically, and electronic records of acceptance are admissible as evidence of agreement.

37. ENTIRE AGREEMENT

These Terms, together with the REWIRE Code of Conduct and any additional terms expressly applicable to a particular ticket, Event, application or Service, constitute the entire agreement governing your use of the Services and participation in an Event, and supersede prior representations and understandings on that subject.

Section 1 governs any conflict between these documents.

REWIRE's collection and handling of personal information is separately governed by the REWIRE Privacy Policy.

Separate agreements entered into with speakers, sponsors, exhibitors, partners, contractors or other participants continue to govern those relationships.

Nothing in this section limits liability for fraudulent misrepresentation or any right that cannot lawfully be excluded.

38. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Subject to any rights or remedies that cannot lawfully be waived, you and REWIRE submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada for disputes arising from or relating to these Terms, the Services or a REWIRE Event.

Before commencing proceedings, each party will make reasonable efforts to resolve the dispute informally by contacting the other using the details in Section 39 and allowing thirty (30) days for a response. This step is encouraged and does not restrict either party's right to commence proceedings or to seek urgent relief.

By registering for, purchasing or accepting a ticket or credential for, or attending a REWIRE Event, you acknowledge that you have read and agree to these Terms and Conditions and the REWIRE Code of Conduct, and acknowledge the REWIRE Privacy Policy.
